gavel 1. Acceptance of Terms

By accessing or using the IT infrastructure, software development, or consulting services provided by Althes Studio LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms & Conditions. These terms constitute a legally binding agreement between you and Althes Studio LLC. If you do not agree with any part of these terms, you must immediately cease all use of our services.

Althes Studio LLC provides high-end IT infrastructure expertise, including but not limited to:

• Custom Enterprise Software Development
• Network Architecture and Security Audits
• Cloud Infrastructure Migration and Management
• Technical Strategic Consulting

Specific deliverables and timelines for each engagement will be outlined in a separate Statement of Work (SOW).

payments 3. Payment Terms

Financial integrity is paramount to our operational model. The following payment structures apply to all client engagements:

• Remaining balances are due within 15 days of milestone completion as defined in the SOW.
• Late payments will incur a 1.5% monthly interest fee.
• Althes Studio LLC reserves the right to suspend all services if accounts are more than 30 days past due.

security 4. Limitation of Liability

To the maximum extent permitted by applicable law, Althes Studio LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of (or inability to access or use) the services;
• Any conduct or content of any third party on the services;
• Unauthorized access, use, or alteration of your transmissions or content.

In no event shall the aggregate liability of Althes Studio LLC exceed the total amount paid by the client to the company for the specific project giving rise to the claim.

balance 5. Governing Law

These Terms and any action related thereto will be governed by the laws of the **State of Colorado** without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms will be the state and federal courts located in Denver, Colorado, and each of the parties hereto waives any objection to jurisdiction and venue in such courts.

cancel 6. Termination

Either party may terminate a service agreement upon 30 days' written notice if the other party breaches any material term or condition of these Terms and fails to cure such breach within the notice period. Upon termination, the client shall pay for all services rendered up to the date of termination.
